Synema Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Synema website, platform, applications, and related services (collectively, the “Services”), operated by Synema, LLC. (“Synema,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect information associated with your use of the Services.

1. Overview of the Services
​
Synema is a professional video production platform that enables collaboration, media storage, organization, and AI-assisted analysis and creation workflows, including but not limited to transcription, tagging, story development, review, and export to professional editing tools.
​
The Services may be offered under Synema’s name, in combination with partner branding, or under co-branded or white-labeled arrangements, provided that Synema remains responsible for the Services in accordance with these Terms.
​
The Services are designed for professional and commercial use.
2. Eligibility
​
You must be at least 18 years old to use the Services. By using Synema, you represent that you meet this requirement and have the authority to enter into these Terms on behalf of yourself or any entity you represent.
Synema does not knowingly collect personal information from children under the age of 13.
3. Account Registration and Security

You are responsible for:

Maintaining the confidentiality of your account credentials

All activity that occurs under your account

Ensuring that users you invite or authorize comply with these Terms
You may not transfer or assign your account without our consent. Synema is not responsible for unauthorized access resulting from your failure to safeguard credentials.

We reserve the right to suspend or terminate accounts at our discretion.
4. Subscription, Billing, and Cancellation
​
Paid features are offered on a subscription basis.
​

Subscriptions may be canceled at any time.

Cancellation takes effect at the end of the current billing period.

Fees paid are non-refundable, except as required by law.
Beta Access
Synema may provide access to the Services as part of a beta, preview, or early access program (“Beta Access”). Beta Access is provided at no cost and on an “as available” basis.

Beta Access may be modified, limited, suspended, or terminated at any time at Synema’s discretion. Features available during Beta Access may differ from those available in paid plans and may be subject to usage limits.
​
Synema will provide notice prior to the conclusion of Beta Access. At that time, users may be required to transition to a free trial or paid subscription by providing valid payment information in order to continue using the Services.
Free Trials
Synema may offer free trial access to certain paid features for a limited period following Beta Access or otherwise. Unless otherwise stated, free trials require valid payment information and automatically convert to a paid subscription at the end of the trial period unless canceled prior to expiration.

During a free trial, access to certain features, storage limits, or AI functionality may be restricted. Synema reserves the right to modify or terminate free trials at any time.

Plan Changes and Proration
​You may upgrade or downgrade your subscription plan at any time.
​

Upgrades take effect immediately, and applicable charges will be prorated for the remainder of the current billing period.

Downgrades take effect at the start of the next billing period.

Cancellations take effect at the end of the current billing period, and fees are non-refundable.
Usage Limits and Tier Adjustments
Subscription plans include defined usage limits, which may include storage capacity, AI processing, or other metered features.

If your usage exceeds the limits of your current plan, Synema may automatically upgrade your account to the next applicable subscription tier. Any resulting charges will apply in accordance with the new tier’s pricing.
​
Synema may modify pricing, usage thresholds, or plan structures from time to time, with changes applying on a prospective basis.
​
Synema may provide notice of usage thresholds or tier changes, but it is your responsibility to monitor usage and manage your subscription accordingly.
5. User Content and Ownership
​
5.1 Your Content
​You retain all ownership rights to media, files, text, and other materials you upload or submit to the Services (“User Content”).
​
By uploading User Content, you grant Synema a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely for the purpose of providing and improving the Services.
5.2 AI Processing of User Content
​The Services use automated systems, including artificial intelligence and machine learning models, to analyze and transform User Content. This may include transcription, tagging, summarization, story structuring, and generation of derivative outputs.
​
By using the Services, you expressly consent to this processing.
5.3 AI Training and System Improvement
​Synema may use User Content and usage data to develop, train, improve, and operate the systems, workflows, and intelligence layers that power the Services. This may include systems that are personalized for individual users or organizations, as well as systems used more broadly across the platform.
​
Synema’s improvements may involve the use of artificial intelligence and machine learning technologies, including the configuration, evaluation, and optimization of third-party and proprietary models.
​
Where feasible, Synema applies techniques such as anonymization, aggregation, and de-identification in connection with system improvement. Synema does not use User Content to intentionally identify or profile individuals outside the context of providing the Services.
​
Synema does not sell User Content or use it for advertising purposes.
5.4 Ownership of AI Outputs
​As between you and Synema:

You own outputs generated from your User Content

Synema retains all rights to the underlying software, models, workflows, prompts, and systems used to generate those outputs
Outputs do not grant any rights to Synema’s intellectual property.
5.5 Responsibility for Content
​You represent and warrant that:

You own or have rights to all User Content you upload

Your use of the Services does not violate any law, contract, or third-party rights
You are responsible for reviewing and validating AI-generated outputs before use.
5.6 Exported Content
​Once User Content or AI-generated outputs are exported, downloaded, or otherwise removed from the Services, Synema has no responsibility for their storage, use, distribution, or security.
6. Prohibited Uses
​You may not use the Services to:

Violate privacy, publicity, or intellectual property rights

Upload unlawful, infringing, or harmful content

Impersonate individuals or entities

Conduct unauthorized surveillance or profiling

Reverse engineer or attempt to extract models, prompts, or system logic

Interfere with the operation or security of the Services

Violate applicable AI, data protection, or biometric laws
No Monitoring Obligation
Synema does not review, monitor, or endorse User Content and assumes no responsibility for User Content uploaded, stored, or shared through the Services. Synema reserves the right, but has no obligation, to remove User Content that violates these Terms or applicable law.
7. Collaboration and Communication Features

Synema may provide collaborative features such as comments, shared workspaces, or messaging.
​
We are not responsible for content shared between users and reserve the right to remove content or restrict access at our discretion.
8. Third-Party Services and Integrations
​
The Services may integrate with third-party platforms (e.g., storage providers, AI services, editing tools).
By enabling integrations, you authorize Synema to exchange data with those providers as necessary. Synema is not responsible for third-party services or their policies.

Affiliates and Service Providers
Synema may provide the Services, in whole or in part, through its affiliates, partners, contractors, or service providers, and may share User Content and related data with such parties as reasonably necessary to operate, improve, or support the Services, subject to applicable confidentiality and data protection obligations.
9. Data Retention and Deletion
​
Upon subscription cancellation or termination, access to User Content will end in accordance with the applicable plan. Synema may retain User Content, including backups and archival copies, for extended periods of time for operational, security, legal, compliance, or business purposes, consistent with its data retention practices.
​
Nothing in these Terms obligates Synema to preserve User Content for purposes of litigation, investigation, or dispute resolution unless required by applicable law or expressly agreed in writing.
​
Data Portability and Migration
In connection with operating, maintaining, improving, testing, or evaluating the Services, including in anticipation of or in connection with service changes, partnerships, integrations, corporate transactions, or infrastructure transitions, Synema may migrate, transfer, reorganize, process, or store User Content with third-party service providers or partners.

Such activities may include temporary or permanent data transfers. Synema does not guarantee that such transitions will be error-free or without interruption, but will take reasonable steps to protect User Content in accordance with these Terms and applicable law.
10. Intellectual Property
​
All software, trademarks, logos, and proprietary systems are owned by Synema or its licensors and are protected by intellectual property laws.

No rights are granted except as expressly stated in these Terms.
11. Confidentiality
​
Each party agrees to protect the other’s confidential information disclosed through the Services, excluding information that is public or independently obtained.
12. Disclaimer of Warranties
​
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
​
SYNEMA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
​
AI-GENERATED OUTPUTS MAY BE INACCURATE OR INCOMPLETE AND SHOULD NOT BE RELIED UPON WITHOUT HUMAN REVIEW.
​
Synema does not guarantee uninterrupted, timely, secure, or error-free operation of the Services and does not provide any service level agreement unless expressly agreed in writing.
​
Synema does not warrant that User Content will be preserved without loss, corruption, or deletion, and use of the Services involves inherent risk of data loss.
​
You are responsible for maintaining independent backups of your User Content.
12.1 No Professional Advice
​The Services and any AI-generated outputs are provided for informational and creative assistance purposes only and do not constitute legal, financial, business, or professional advice. You are solely responsible for decisions made based on your use of the Services and any outputs generated.
13. Limitation of Liability
​
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNEMA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION.

SYNEMA’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SYNEMA IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Indemnification
​You agree to indemnify and hold harmless Synema from claims arising out of:

Your use of the Services

Your violation of these Terms or applicable law
Synema reserves the right to assume the exclusive defense and control of any matter subject to indemnification, at its own expense.
15. Arbitration and Class Action Waiver
​
Except for claims relating to intellectual property rights or requests for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration.
​
Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its then-current Commercial Arbitration Rules. The arbitration shall be conducted on an individual basis and shall take place in Philadelphia, Pennsylvania, unless the parties mutually agree otherwise.
​
Class Action Waiver
You agree that any dispute must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
​​
Opt-Out Right
You may opt out of this arbitration agreement by providing written notice to Synema within thirty (30) days of first accepting these Terms.
16. Termination
​
Synema may suspend or terminate access at any time for violation of these Terms or risk to the platform.
Upon termination, your license to use the Services ends.
17. Changes to the Services and Terms
​
We may modify the Services or these Terms over time. Material changes will be communicated through the Services or via email.
​
Continued use constitutes acceptance.
18. Force Majeure
​
Synema shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, power failures, network outages, labor disputes, governmental actions, or failures of third-party service providers.
19. Assignment
​
Synema may assign or transfer these Terms, in whole or in part, without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign these Terms without Synema’s prior written consent.
20. Governing Law
​
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Synema, or between Synema and any third party, except as expressly stated in writing.
